TERMS OF USE

Social Friendzy, Inc. (“Social Friendzy” or “us” or “our”) operates a website, www.Social-Friendzy.com and a mobile app (collectively referred to as the “Site” or “Service”). By using our Site, you (“you” or “User”) agree to these Terms of Use, our Privacy Policy, and any additional terms applicable to certain programs in which you may elect to participate, as any of the same may exist from time to time (collectively, the “Terms of Use” or “Agreement”). The term "using" includes any person or entity who accesses or uses the Site with crawlers, robots, browsers, data mining, or extraction tools, or other functionality, whether such functionality is installed or placed by such person or entity or a third party. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, IMMEDIATELY STOP ACCESSING THE SITE AND DO NOT USE ANY SOCIAL FRIENDZY SITE.

PERMITTED USES

The Site provides an interactive online service operated by Social Friendzy, consisting primarily of: (i) promotion and marketing services on behalf of certain merchants (“Merchants”) making coupons for Merchant goods and services available to Users; and (ii) promotion and marketing services on behalf of certain Users who redeem coupons through photosharing.  Coupons may be flagged and redeemed by Social Friendzy members and exchanged for goods and/or services from the issuing Merchants or other parties identified in the terms of the offer and subject to the Coupon Terms set forth below. As a condition of your use of this Site, you agree that:

• You are an individual person at least 18 years of age;
• You are able to create a binding legal obligation;
• You are not barred from receiving products or services under U.S. law;
• Your use of this Site will at all times comply with the terms of this Agreement;

If you elect to create an account:

• You may create only one account for your personal use;
• You must safeguard your password and supervise the use of your account, and you understand and agree that you are responsible for your own use and the use of your account by anyone you allow to access it; and
• You are responsible for updating and correcting information you have submitted to the Site.
• You have the right to provide any and all information you submit to the Site, the information is only about yourself, and all such information is accurate, true, current and complete.

ACCESS TO OUR SITE

Social Friendzy retains the right at its sole discretion to deny service, or access to its Site or an account to anyone, at any time and for any reason. You acknowledge that there may be interruptions in service or events that are beyond our control. While we use reasonable efforts to keep the Site accessible, the Site may be unavailable from time to time for any reason including, without limitation, routine maintenance. You understand and acknowledge that due to circumstances both within and outside of our control Site access may be interrupted, suspended or terminated.

TRANSMISSION OF INFORMATION

Because we do not control the security of the Internet or other networks you use to access the Site or communicate with us, we can’t be, and are not responsible for, the security of information that you choose to communicate with Social Friendzy and the Site while it is being transmitted. In addition, Social Friendzy is not responsible for any data lost during transmission.

YOUR CONDUCT ON OUR SITE

Our Site is private property. All interactions on this Site must be lawful and must comply with this Agreement. To the extent your conduct (as judged by us in our sole discretion), restricts or inhibits any other user from using or enjoying any part of this Site, we may limit your privileges on the Site and seek other remedies. PLEASE DO NOT ENGAGE IN ANY OF THE FOLLOWING ACTIVITIES, they are prohibited on the Site and constitute express violations of this Agreement:

• Submitting any purposely inaccurate information, committing fraud or falsifying information in connection with your Social Friendzy account or in order to create multiple Social Friendzy accounts;
• Attempting to access, or actually accessing, data not intended for you, such as logging into a server or an account which you are not authorized to access;
• Attempting to scan, or test the security or configuration of the Site or to breach security or authentication measures;
• Tampering or interfering with the proper functioning of any part, page or area of the Site or any functions or services provided by Social Friendzy;
• Attempting to interfere with service to any user in any manner, including, without limitation, by means of submitting a virus to our Site, or attempts at overloading, “flooding”, “spamming”, “mail bombing” or “crashing” the Site;
• Using frames, framing techniques or framing technology to enclose any content included on the Site without our express written permission;
• Using any Site content in any meta tags or any other “hidden text” techniques or technologies without our express written permission;
• Using the Site or any of its contents to advertise or solicit, for any other commercial, political or religious purpose, or to compete, directly or indirectly with Social Friendzy;
• Reselling or repurposing your access to the Site;
• Using the Site or any of its resources to solicit Site Users, Merchants or other business partners of Social Friendzy to become users or partners of other online or offline services directly or indirectly competitive or potentially competitive with Social Friendzy, including without limitation, aggregating current or previously offered deals;
• Collecting content from the Site, including but not limited to current or previously offered deals, and featuring such content to consumers in any manner that diverts traffic from the Site without our express written permission;
• Collecting the Personal Information, data, or Content of any Site Users or Merchants;
• Using any User or Merchant information from the Site for any commercial purpose, including, but not limited to, marketing;
• Exceeding or attempting to exceed quantity limits when flagging and redeeming coupons or products, or otherwise using any Social Friendzy account to flag and redeem coupons or products for resale, or for speculative, false, fraudulent or any other purpose not expressly permitted by this Agreement and the terms of a specific offer on the Site;
• Accessing, monitoring or copying any content or information from this Site using any “robot,” “spider,” “scraper” or other automated means or any manual process for any purpose without our express written permission;
• Violating the restrictions in any robot exclusion headers on this Site or bypassing or circumventing other measures employed to prevent or limit access to this Site;
• Taking any action that places excessive demand on our services, or imposes, or may impose an unreasonable or disproportionately large load on our servers or other portion of our infrastructure (as determined in our sole discretion);
• Aggregating any live or post-feature content or other information from the Site (whether using links or other technical means or physical records associated with coupons redeemed through this Site) with material from other sites or on a secondary site without our express written permission;
• Deep-linking to any portion of this Site without our express written permission;
• Acting illegally or maliciously against the business interests or reputation of Social Friendzy, our Merchants or our services; or
• Hyperlinking to the Site from any other website without our initial and ongoing consent.

CREATING AN ACCOUNT ON OUR SITE

If you create an account on our Site, you may only create and hold one account that you are solely responsible for managing. Your account is non-transferrable and may not be sold, combined or otherwise shared with any other person. If you violate any of these limitations we may terminate your account and, without limitation, you may forfeit any pending, current or future account credits as well as any unredeemed coupons in your account. If we terminate your account, you may not re-enroll or join under a new account unless we formally invite you. If you commit fraud or falsify information in connection with your use of the Site or in connection with your Social Friendzy account, your account will be terminated immediately and we reserve the right to hold you liable for any and all damages that we suffer, to pursue legal action through relevant local and national law enforcement authorities and to notify your Internet Site Provider of any fraudulent activity we associate with you or your use of the Site.

COUPON TERMS

Coupons that you flag and redeem through our Site as a Social Friendzy member are special promotional offers from participating Merchants provided through our service.  Coupons are redeemable for certain goods, services or experiences offered by, or facilitated through, the Merchant identified on the coupon. 

The Merchant is solely responsible for redeeming the coupon. The Merchant is the issuer of the coupon and is fully responsible for all goods and services it provides to you and for any and all injuries, illnesses, damages, claims, liabilities and costs (“Liabilities”) it may cause you to suffer, directly or indirectly, in full or in part, whether related to the use or redemption of a coupon or not. You waive and release Social Friendzy and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any Liabilities arising from or related to any act or omission of a Merchant in connection with your use of a coupon or the goods or services it provides in connection with the coupon.

By redeeming any coupon via the Site, you agree to the terms of this Agreement and these Coupon Terms. Any attempt to redeem a coupon in violation of these Terms of Use will render the coupon void. By purchasing, viewing a mobile version, printing, accepting, using or attempting to use any coupon, you agree specifically to these Coupon Terms, the terms on the coupon itself, and any additional, deal specific terms advertising the coupon (collectively, the “fine print” regardless of how labeled). These rules apply to all promotional coupons that we make available, unless a particular coupon’s fine print states otherwise, and except as otherwise required by law. In the event of a conflict between these rules and a coupon’s fine print, the coupon’s fine print will control.

A Merchant may refuses to honor any coupon at their sole discretion.  If this happens to you or you have a complaint, please contact support@social-friendzy.com. Coupons are not redeemable for cash, unless required by law. Unauthorized or unlawful reproduction, resale, modification or trade of coupons is prohibited.

CASH REWARDS FOR USERS

Site Users receive revenue sharing through Cash Rewards.  Cash Rewards are earned when a User that signs up a new User, promotes Social Friendzy by redeeming coupon/deals, and shares to their social network friends and followers (“Qualifying Activities”). In order to earn Cash Rewards indicated in the Qualifying Activity materials, you must comply with the terms of the applicable Qualifying Activity.

Social Friendzy reserves the right to discontinue Cash Rewards or modify these terms. To accumulate and redeem Cash Rewards, you must create, and maintain in good standing, a Social Friendzy account, submit (bank account, PayPal, or address for physical mailing of a check only at the time when requesting of the dispersing cash.  To be done at time of dispersing, or 600$ with W9 or equivalent tax forms).

You are responsible for ensuring that Cash Rewards you earn are added to your Social Friendzy account. Cash Rewards may not appear in your account for up to ten business days if a Qualifying Activity must be validated.

REFER-A-FRIEND

Social Friendzy’s Refer-a-Friend program (“RAF Program”) is a Qualifying Activity by which you may earn Cash Rewards if a non-Social Friendzy member you refer signs up for a Social Friendzy account and redeems a coupon or deal via the Site. In order to be eligible to earn Cash Rewards through the RAF Program, you must be eligible to accumulate and redeem Cash Rewards, and maintain a Social Friendzy account in good standing.

To participate, refer friends who are not current Social Friendzy members (“New User”) by sending them your personal referral link (“unique link”), available on the Site or provided to you as a recipient of a coupon. For a New User who accesses your unique link and,(i) registers on the Site, and (ii) redeems a Social Friendzy coupon (“Eligible Offer”), Social Friendzy will post to your account, Cash Rewards you are eligible to receive, within a reasonable amount of time.

Social Friendzy may provide various tools to help you disseminate your unique link. You may also share your unique link via email and social media. PLEASE NOTE THAT WHENEVER YOU DECIDE TO SHARE YOUR UNIQUE LINK, YOU MUST TELL YOUR FRIENDS THAT YOU ARE ELIGIBLE TO RECEIVE CASH REWARDS IF THEY SIGN UP AND MAKE A QUALIFYING PURCHASE. Failure to disclose this information is a violation of this Agreement and Social Friendzy may terminate you immediately from the RAF Program, disqualify you from participating in the RAF Program in the future, and cause the forfeiture of any Cash Rewards in your account.

Social Friendzy reserves the right at any time to modify or discontinue the RAF Program, either temporarily or permanently (or any part thereof), with or without notice. Social Friendzy will not be liable to you in the event of any modification, suspension or discontinuance of the RAF Program.

MODIFICATION OF THIS AGREEMENT

We reserve the right at all times to discontinue or modify any part of this Agreement as we deem necessary or desirable. If we make changes that materially affect your use of the Site or our services we will notify you by sending you an email to the email address that is registered with your account and/or by posting notice of the change on the Site. If you have an account on the Site, any changes to these Terms of Use will be effective upon the earlier of our dispatch of an email notice to you or our posting of notice of the changes on our Site, provided that, these changes will not apply to coupons redeemed prior to the effective date of such changes. These changes will be effective immediately for new and existing users of our Site and for all coupons redeemed after the effective date of the change. We suggest that you revisit our Terms of Use from time to time to ensure that you stay informed of any such notifications of changes to the Site. Your use of the Site after we update these Terms of Use will constitute acceptance of the modified Terms of Use.

We also reserve the right to change or discontinue any aspect or feature of our services or the Site including, but not limited to, requirements for access or use.

OWNERSHIP OF THE SITE

The content and information on the Site as well as the infrastructure used to provide both, is proprietary to us, our users, Merchants and other partners. Social Friendzy grants you a limited, personal, nontransferable, nonexclusive, revocable license to access and use the Site pursuant to this Agreement and to any additional terms and policies set forth by Social Friendzy. You agree not to reproduce, distribute, create derivative works from, publicly display, publicly perform, license, sell or re-sell any data, content, information, software, products or services obtained from or through the Site without the express permission of Social Friendzy. In addition, you may not make any use that exceeds or violates these Terms of Use.

COPYRIGHTS AND TRADEMARKS

This Site contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire contents of the Site are protected by copyright, trademark, and other intellectual property laws of the United States. Social Friendzy owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. You may not modify, distribute, publish, transmit, publicly display, publicly perform, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. Except as otherwise expressly stated under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of Social Friendzy or the copyright owner is permitted. If copying, redistribution or publication of copyrighted material is permitted, you will make independent attribution and/or make no changes in or deletion of any author attribution, trademark legend or copyright notice. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material. Any violation of these restrictions may result in a copyright, trademark or other intellectual property right infringement that may subject you to civil and/or criminal penalties.

You will not upload, post or otherwise make available on this Site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. Social Friendzy does not have any express burden or responsibility to provide you with indications, markings or anything else that may aid you in determining whether the material in question is copyrighted or trademarked. You will be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission.

"Social Friendzy", the Social Friendzy logo, and variations thereof found on the Site are trademarks owned by Social Friendzy and all use of these marks inures to the benefit of Social Friendzy. Other marks on the site not owned by Social Friendzy may be under license from the trademark owner thereof, in which case such license is for the exclusive benefit and use of Social Friendzy unless otherwise stated, or may be the property of their respective owners. You may not use Social Friendzy's name, logos, trademarks, or brands without Social Friendzy's express permission.

CONTENT

For purposes of these Terms of Use, the term "Content" includes, without limitation, any location information, videos, audio clips, comments, information, data, text, photographs, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible by Social Friendzy on or through the Service. All Content, whether publicly posted or privately transmitted, is the sole responsibility of the User who originated such Content. Social Friendzy cannot guarantee the authenticity of any Content or data which Users may provide about themselves. You acknowledge that all Content accessed by you using the Site is at your own risk and you will be solely responsible and liable for any damage or loss to you or any other party resulting therefrom. Content added, created, uploaded, submitted, distributed, posted or otherwise obtained through the Service by Users, including Content that is added to the Service in connection with Users linking their accounts to third party websites and services, is collectively referred to as "User Submissions" or “Submissions.”

SOCIAL FRIENDZY CONTENT

Our Site contains Content specifically provided by Social Friendzy or its partners and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws, as applicable. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Site.

Subject to these Terms of Use, Social Friendzy grants each User of the Site a worldwide, non-exclusive, non-sublicensable and non-transferable license to use, modify and reproduce the Content, solely for personal, non-commercial use. Use, reproduction, modification, distribution or storage of any Content for other than personal, non-commercial use is expressly prohibited without prior written permission from Social Friendzy, or from the copyright holder identified in such Content's copyright notice, as applicable. You shall not sell, license, rent, or otherwise use or exploit any Content for commercial (whether or not for profit) use or in any way that violates any third party right.

USER SUBMISSIONS

We may use your User Submissions in a number of different ways in connection with the Site and Social Friendzy’s business as Social Friendzy may determine in its sole discretion, including but not limited to, publicly displaying it, reformatting it, incorporating it into marketing materials, advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing other Users to do the same in connection with their own websites, media platforms, and applications (“Third Party Media”). By submitting User Submissions on the Site or otherwise through the Site, you hereby do and shall grant Social Friendzy a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to use, copy, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Submissions in connection with the Site and Social Friendzy's (and its successors and assigns') business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) or the Site in any media formats and through any media channels (including, without limitation, third party websites and feeds). You also hereby do and shall grant each User of the Site, including Third Party Media, a non-exclusive license to access your User Submissions through the Site, and to use, edit, modify, reproduce, distribute, prepare derivative works of, display and perform such User Submissions in connection with their use of the Site and Third Party Media. For clarity, the foregoing license grant to Social Friendzy does not affect your other ownership or license rights in your User Submission(s), including the right to grant additional licenses to the material in your User Submission(s), unless otherwise agreed in writing with Social Friendzy.

You represent and warrant that you have all rights to grant such license to us without infringement or violation of any third party rights, including without limitation, any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.

You understand that all information publicly posted or privately transmitted through the Site is the sole responsibility of the person from which such Content originated; that Social Friendzy will not be liable for any errors or omissions in any Content; and that Social Friendzy cannot guarantee the identity of any other Users with whom you may interact in the course of using the Site.

When you delete your User Submissions, they will be removed from the Site. However, you understand that any removed User Submissions may persist in backup copies for a reasonable period of time (but following removal will not be shared with others) or may remain with Users who have previously accessed or downloaded your User Submissions.

Public Nature of User Submissions

• You understand and agree that most User Submissions are public and not private. Any other person (whether or not a user of Social Friendzy’s services) may read your publicly posted User Submissions without your knowledge. Please do not include any Personal Information (as defined in our Privacy Policy) in your Submissions that you do not wish to be publicly disclosed. Social Friendzy is not responsible for the use or disclosure of any Personal Information that you voluntarily disclose in connection with your Submissions .

• Any Submissions of any kind made by you or any other Users are those of the respective author(s) or distributor(s) and not of Social Friendzy. Other Users may post statements that are inaccurate, misleading, or deceptive. Social Friendzy does not endorse and is not responsible for any Submissions made by Users, and will not be liable for any loss or damage caused by your reliance on such Submissions. The statements expressed by other Users reflect the opinions of the Users who submitted them and may not reflect the opinion of Social Friendzy. Social Friendzy does not control or endorse any Submissions found in any part of the Site, and Social Friendzy specifically disclaims any liability concerning the Submissions.

CARD SERVICES

Certain features of the Site and/or certain services and products made available to you through the Site may allow you to purchase services or to redeem an offer or Cash Reward using your credit card (together with “Card Services”). Social Friendzy uses a third-party payment processor (the “Payment Processor”) to link your credit card account to the Site (your “Card Account”) for use of the Card Services. The processing of payments or credits, as applicable, in connection with the Card Services will be subject to the terms, conditions and privacy policies of the Payment Processor and your credit card issuer in addition to this Agreement. Social Friendzy is not responsible for any error that occurs during any offer or special redemption process, including any error by the Payment Processor. In connection with your use of the Card Services, Social Friendzy will obtain certain transaction details, which Social Friendzy will use solely in accordance with our Privacy Policy.

SPECIAL TERMS FOR MERCHANTS AND MERCHANT PAGES

If you are a Merchant, you also agree to a separate agreement defining your payment terms (“Merchant Agreement”).

Merchant Pages

Merchants may have special profiles on the Site (hereinafter “Pages”) to promote their products and services.  If you have a Page on the Site, you also agree to the following:

• You may only administer a Page if you are an authorized representative of the subject of the Page.
• All Content posted on the Page will be made available to all Users of the Site.
• You may not establish terms beyond those set forth in these Terms of Use to govern the use of the Page you administer.
• Your Page will not be used primarily or substantially to promote or advertise alcohol or tobacco products, firearms, or other products or services that may not be lawfully purchased or used by minors.
• You will not direct your Page, or any Content on your Page, to children under the age of 13.
• If you collect information about Users, you will only use such information for your internal business purposes in connection with your use of the Site and in accordance with Social Friendzy's Privacy Policy.
• You will not use deceptive practices to get Users to "like," subscribe to, or flag your Page.
• You are responsible for ensuring that your Page, including any Content you post on your Page, shall comply with all applicable laws, rules and regulations and these Terms of Use, and any advertising, marketing, privacy, or other self-regulatory code(s) applicable to your industry.

Copyright Policy and Digital Millennium Copyright Act (DMCA) Procedures.

Social Friendzy reserves the right to terminate the right to use the Site by any User or Merchant who infringes the copyrights of another.

If you believe that any material has been posted via the Site by a User or Merchant in a way that constitutes copyright infringement, and you would like to bring this material to Social Friendzy's attention, you must provide Social Friendzy's DMCA Agent with the following information: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyrighted work; (b) an identification of the copyrighted work and the location on the Site of the allegedly infringing work; (c) a written statement that you have a good faith belief that the disputed use is not authorized by the owner, its agent, or the law; (d) your name and contact information, including telephone number and e-mail address; and (e) a statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf.

DISCLAIMER OF WARRANTY

YOU EXPRESSLY AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. NEITHER SOCIAL FRIENDZY, ITS SUBSIDIARIES AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, MERCHANTS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, WARRANT THAT USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO (I) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THIS SITE, OR (II) THE ACCURACY, COMPLETENESS, RELIABILITY OR CONTENT OF ANY INFORMATION (INCLUDING, BUT NOT LIMITED TO, PRODUCT DESCRIPTIONS), SITES, PRODUCTS, COUPONS, OR STATEMENTS (AS DEFINED ABOVE) PROVIDED THROUGH THIS SITE. IN NO EVENT SHALL SOCIAL FRIENDZY, ITS SUBSIDIARIES, AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, MERCHANTS, PARTNERS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, THE CONTENT, STATEMENTS AND OTHER INFORMATION CONTAINED THEREIN, THE PRODUCTS OR SITES ACCESSIBLE OR AVAILABLE THROUGH THE SITE OR THESE TERMS OF USE. IN NO EVENT WILL SOCIAL FRIENDZY’S LIABILITY IN CONNECTION WITH A VOUCHER OR A PRODUCT OR SITE EXCEED THE AMOUNTS PAID FOR SUCH VOUCHER, PRODUCT OR SITE. TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU DURING THE SIX MONTHS PRECEDING THE BRINGING OF ANY CLAIM, OR FIVE HUNDRED DOLLARS, WHICHEVER IS LESS.

The Site contains links to websites maintained by other parties. These links are provided solely as a convenience to you and not because we endorse or have an opinion about the contents on such websites. We expressly disclaim any representations regarding the content or accuracy of materials on such websites or the privacy practices of those websites. If you decide to access websites maintained by other parties, you do so at your own risk

INDEMINIFICATION/RELEASE

You agree to defend, indemnify and hold harmless Social Friendzy, its subsidiaries, affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of or related to any products or services offered by you, flagged by your, redeemed by you, or any Statements submitted or posted by you, in connection with the Site or any use of the Site in violation of these Terms.

You are solely responsible for your interactions with Merchants and other users of the Site. To the extent permitted under applicable laws, you hereby release Social Friendzy from any and all claims or liability related to any product or service of a Merchant, any action or inaction by Merchant, including Merchant’s failure to comply with applicable law and/or failure to abide by the terms of a Social Friendzy, and any conduct, speech, or Statements, whether online or offline, of any other user.

TERMINATION

Social Friendzy may terminate these Terms of Use at any time. Without limiting the foregoing, Social Friendzy shall have the right to immediately terminate or suspend any of your passwords or accounts in the event Social Friendzy considers, in its sole discretion, any of your conduct to be unacceptable, or in the event you breach this Agreement. Notwithstanding the above, these Terms of Use will survive termination of this Agreement.

CHOICE OF LAW

Any disputes arising out of or related to these Terms of Use and/or any Use by you of the Site or Social Friendzy’s services shall be governed by the internal laws of the State of Wyoming, without regard to its choice of law rules and without regard to conflicts of laws principles.

ADDITIONAL DISCLOSURES

No waiver by either you or Social Friendzy of any breach or default or failure to exercise any right allowed under this Agreement is a waiver of any preceding or subsequent breach or default or a waiver or forfeiture of any similar or future rights under our Agreement. The section headings used herein are for convenience only and shall be of no legal force or effect. If a court of competent jurisdiction holds any provision of our Agreement invalid, such invalidity shall not affect the enforceability of any other provisions contained in this Agreement, and the remaining portions of our Agreement shall continue in full force and effect.

The provisions of these Terms of Use apply equally to and are for the benefit of Social Friendzy, its subsidiaries, affiliates, Merchants and its third-party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf.
